Terms & Conditions

These Terms & Conditions ("Terms") govern your access to and use of the website, mobile applications and investment services provided by Hoist Finance ("we", "us", "our"). By opening an account or using our services, you agree to be bound by these Terms. Please read them carefully and keep a copy for your records.

1. Our services

We provide an execution-only investment platform that allows you to buy, sell and hold financial instruments such as shares, ETFs, bonds and funds, together with a savings product offering interest on uninvested cash.

We do not provide investment advice, portfolio management or personal recommendations. Any information published on our platform, including articles in our knowledge centre, is provided for general information only and does not constitute advice. You are solely responsible for your investment decisions.

2. Eligibility and account opening

To open an account you must be at least 18 years old, have your habitual residence in a country we serve, and hold a bank account in your own name with a licensed credit institution.

During onboarding we are legally required to verify your identity and collect information about your investment knowledge and experience. You must provide accurate, complete and current information and inform us promptly of any changes. We may decline or close an account at our discretion where legal or regulatory requirements are not met.

3. Your account and security

You are responsible for maintaining the security of your account. In particular, you agree to:

  • Keep your login credentials confidential and never share them with third parties.
  • Enable two-factor authentication where available and use a strong, unique password.
  • Notify us immediately if you suspect unauthorised access to your account.
  • Use the platform only for your own account and for lawful purposes.

4. Orders and execution

Orders placed through the platform are transmitted for execution in accordance with our Order Execution Policy. Market conditions may cause the execution price to differ from the price displayed at the moment you place an order. Once an order has been executed it cannot be cancelled or reversed.

We may refuse, suspend or cancel orders where required by law, where we suspect market abuse or fraud, or where a technical malfunction has produced manifestly incorrect prices.

5. Fees and charges

The fees applicable to our services are set out in our fee schedule, available on the platform. We will give you at least 30 days' notice before any fee increase takes effect. Third-party costs, such as exchange fees and applicable taxes, may be passed on to you.

6. Client assets

Financial instruments held for you are segregated from our own assets in accordance with applicable client asset protection rules, so that they remain yours even in the unlikely event of our insolvency. Uninvested cash is held with regulated credit institutions or in qualifying money market funds, as described in the product documentation.

7. Risk warning

Investing involves risk. The value of your investments can fall as well as rise, and you may lose some or all of the amount you invest. Past performance is not a reliable indicator of future results. You should only invest money you can afford to lose and ensure you understand the risks of each product before trading. 8. Prohibited use

You must not use the platform to:

  • Engage in market manipulation, insider dealing or any other form of market abuse.
  • Launder money, finance terrorism or evade sanctions.
  • Access the platform by automated means, reverse engineer our software, or interfere with the operation or security of our systems.
  • Provide false information or act on behalf of an undisclosed third party.

9. Availability of the platform

We aim to keep the platform available at all times but do not guarantee uninterrupted access. Planned maintenance will be announced in advance where reasonably possible. We are not liable for losses caused by outages, delays or failures that are outside our reasonable control, including failures of exchanges, data providers or telecommunication networks.

10. Liability

Nothing in these Terms excludes or limits liability that cannot be excluded under applicable law. Subject to that, we are liable only for direct damage caused by our intent or gross negligence, and not for indirect or consequential losses such as lost profits or missed investment opportunities.

11. Termination

You may close your account at any time free of charge once all positions have been closed or transferred and any outstanding fees settled. We may terminate the relationship with two months' notice, or with immediate effect where you materially breach these Terms or where we are required to do so by law.

12. Complaints

If you are dissatisfied with our services, please contact our service desk first. We aim to acknowledge complaints within two business days and to provide a substantive response within 15 business days. If you are not satisfied with the outcome, you may refer the matter to the competent financial ombudsman or supervisory authority.

13. Changes to these Terms

We may amend these Terms to reflect changes in law, regulation or our services. We will notify you at least 30 days before material changes take effect. If you do not accept a change, you may close your account free of charge before the change becomes effective; continued use of the platform after that date constitutes acceptance.

14. Governing law

These Terms are governed by the laws of the Netherlands, without prejudice to mandatory consumer protection provisions of your country of residence. Disputes are subject to the jurisdiction of the competent courts, and you always retain the right to bring proceedings before the courts of your place of residence.
